These Terms of Service (“Terms” or “Agreement”) govern your access to and use of Adelie Logistics LLC's (“RentKit,” “we,” “us,” or “our”) websites, applications, client software, and related services (collectively, the “Service”). The Service includes an online payment platform (“Payment Service”) that facilitates the transmission of payments for event rental equipment and services to the rental company (“Rental Company”) through one or more third-party payment processors, including Stripe, Inc.
By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.
1. Legal Relationship
This Agreement does not create any partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and RentKit. RentKit may suspend or terminate access to the Service at any time for any reason. All Service content, including software, designs, and data, is protected under intellectual property laws.
2. Description of the Service
RentKit provides a platform that enables event rental companies to manage inventory, invoices, contracts, estimates, and payments. As an End User, you receive access to functionality that enables you to view invoices, sign rental contracts and estimates, and submit payments for event rental equipment and services.
3. Registration and Account Security
Certain features of the Service may require you to provide information such as your name, email address, and payment details. You are responsible for ensuring this information is accurate, current, and complete. You are responsible for maintaining the confidentiality of any login credentials and all activity under your account.
4. Eligibility
The Service is not intended for children under 13. If you are under 18, a parent or guardian must consent to these Terms on your behalf.
5. Payment Service Terms
Our Payment Service acts as an intermediary between you and the Rental Company for processing payments related to event rental equipment and services. By using the Payment Service, you acknowledge and agree that RentKit is not a party to the rental agreement between you and the Rental Company. Payments are processed through Stripe, Inc. and are subject to Stripe's terms of service.
5.1 Payment Authorization
By submitting a payment through the Service, you authorize RentKit to charge the specified amount to your selected payment method on behalf of the Rental Company. You confirm that you are authorized to use the payment method provided.
5.2 Electronic Signatures
The Service may require or allow you to provide an electronic signature to authorize payments, confirm receipt of equipment, or acknowledge rental agreements. You agree that your electronic signature is legally binding and equivalent to a handwritten signature.
5.3 Equipment Responsibility
You acknowledge that, upon acceptance of rented equipment, you assume full responsibility for such equipment during the rental period. This includes responsibility for any damage, loss, or theft not covered by insurance or waiver agreements.
5.4 Refunds and Cancellations
Refund and cancellation policies are determined by the Rental Company. RentKit facilitates the processing of refunds as directed by the Rental Company but does not independently determine refund eligibility. Contact the Rental Company directly regarding refund requests.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENTKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.
7. Indemnification
You agree to indemnify and hold harmless RentKit, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Delaware.
9. Changes to Terms
RentKit reserves the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes constitutes acceptance of the revised Terms.
